These draft Terms of Use describe the intended basis on which you may use the Bridge Edge platform. They are subject to change and are not yet in force.
1 · The service
Bridge Edge is a private membership and introduction service. It facilitates introductions between eligible accredited and institutional members who have expressed non-binding interest in private or pre-IPO positions. Bridge Edge is not a broker-dealer, investment adviser, exchange, alternative trading system, custodian, or escrow agent, and it does not execute transactions or hold funds or securities for members.
2 · Eligibility and account
Use of the platform is limited to members who have completed the applicable eligibility and verification process and are based outside the United States. You agree to provide accurate information, to keep credentials confidential, and to notify Bridge Edge of any material change to your eligibility or circumstances. Each membership is personal and non-transferable.
3 · Expressions of interest are non-binding
An expression of interest is an indication of possible interest only. It is not an order, an offer, a binding commitment, or a contract to buy or sell any security. It never carries an executable price. Nothing in an expression of interest obligates any party to proceed, and Bridge Edge makes no representation that any expression of interest will result in an introduction or a transaction.
4 · Introductions; transactions are between parties
When Bridge Edge introduces members to one another, the members deal directly with each other. Price, quantity, and terms are agreed bilaterally by those members. Bridge Edge does not advise, negotiate on anyone's behalf, or set the terms of any transaction. Any closing arrangements — including escrow, legal representation, and transfer of securities — are managed directly by the parties and any qualified third parties they choose.
5 · No custody
Bridge Edge does not take custody of, hold, safeguard, or move client funds or securities. Members must not deposit funds or securities with Bridge Edge. Securities transfer and payment are handled directly between parties or through third parties the parties select, such as an escrow agent, closing attorney, or transfer agent.
6 · No advice
Bridge Edge does not provide investment, legal, tax, or accounting advice. Materials on the platform, including any pricing or valuation information, are provided for information and are not a recommendation, an offer, or a solicitation. You are responsible for your own investment decisions and should obtain independent professional advice.
7 · Acceptable use
You agree not to misuse the platform: to provide false information, attempt to access another member's account, submit interest you are not eligible or entitled to express, circumvent security or access controls, or otherwise violate applicable law. Bridge Edge may suspend or terminate access that breaches these terms or threatens the integrity of the platform or other members.
8 · No representations on private positions
Private and pre-IPO securities are inherently illiquid and carry a high risk of loss. Bridge Edge does not verify or warrant the value, transferability, or performance of any position, company, or member. Any information about a company is provided by, or attributed to, its source and is indicative only.
9 · Liability and indemnification
To the fullest extent permitted by law, Bridge Edge is not liable for losses arising from introductions, negotiations, or transactions between members, from decisions made in reliance on platform information, or from third-party services. Members agree to indemnify Bridge Edge in connection with their use of the platform and any transaction they enter into as a result of an introduction.
10 · Changes and termination
Bridge Edge may modify these terms, the platform, or membership offerings from time to time. Continued use after changes take effect constitutes acceptance. Members may close their membership at any time, and Bridge Edge may suspend or terminate access where permitted by law and these terms.
11 · Governing law
These terms will be governed by the jurisdiction in which Bridge Edge is established, subject to mandatory law in a member's own jurisdiction. This draft does not yet specify the operative governing law, which will be confirmed with counsel.
