How Bridge Edge works.
Bridge Edge is an introduction desk — not a trading venue. A desk associate reads eligible accredited and institutional members' expressions of interest in private and pre-IPO positions and may introduce two members to each other. The desk then steps aside: negotiation and closing happen directly between the parties (or with qualified outside professionals).
1 · Members express non-binding interest
A member records an expression of interest (EOI) — the direction they are open to (buy or sell), an indicative quantity range, and optional narrative. EOIs are explicitly non-binding: they are not orders, never carry an executable price, and create no obligation to trade. Before an EOI moves forward, the platform checks the member's eligibility and, for sellers, that they have a credible ownership basis for the position.
2 · A desk associate reviews each statement in the order it was received
A named Bridge Edge desk associate reads each expression of interest in the order it was received. Reviewing in the order received is a fairness policy for human review; it is not an automated ranking and it gives no member a position in anything. The associate then decides, case by case, whether it is appropriate to introduce two members who are separately interested in the same position, and the two members deal directly with each other from that point. This is a human, case-by-case facilitation — there is no automated price-time-priority order matching and no system that continuously matches buyers to sellers. The desk does not advise either side and does not negotiate or set price or terms on anyone's behalf.
3 · Negotiation and closing happen between the parties
Once introduced, the buyer and seller negotiate price, quantity, and any conditions directly with each other. Closing is handled off-platform: the parties may execute documents directly, or use a separate, already-licensed escrow agent, closing attorney, or transfer agent. Bridge Edge never takes custody of funds or securities, never holds customer money or shares on its own ledger, and is not a party to, or counterparty in, any trade.
What the platform does not do
- It is not a registered broker-dealer, investment adviser, exchange, alternative trading system, custodian, or escrow agent.
- It does not execute trades, match orders automatically, or provide continuous pricing for buying or selling.
- It does not hold, safeguard, or move client funds or securities, and any pricing or valuation shown is indicative only and not executable.
- It does not provide investment, legal, or tax advice, and it does not set price or terms for any transaction.
