These draft disclosures set out important limitations on what Bridge Edge is and what it does. Please read them carefully. They are drafts pending legal review and are not final.

Not a broker-dealer; no execution

Bridge Edge is not a registered broker-dealer, investment adviser, exchange, or alternative trading system, and it is not affiliated with one. It does not execute, clear, or settle transactions between members, and it does not buy or sell securities for its own account. Members are introduced to each other and transact directly; Bridge Edge is not a party to, or counterparty in, any trade. This model is intended to operate as an introduction service and is subject to the completion of required regulatory and legal review in the relevant jurisdictions.

No custody of funds or securities

Bridge Edge does not take custody of, hold, safeguard, or move client funds or securities on behalf of members. No member should deposit money or securities with Bridge Edge, and Bridge Edge will never ask for custody of them. Payment and transfer of securities happen directly between the parties or through qualified third parties the parties choose, such as an escrow agent, closing attorney, or transfer agent.

Any prices, valuations, or financial figures shown on the platform — including charts and research — are indicative only, reflect internal estimates or attributed source data, and are not executable, not a quotation at which Bridge Edge will transact, and not an offer or solicitation. They should not be relied on as current or fair value, and they are not investment advice.

No investment, legal, or tax advice

Bridge Edge does not provide investment, legal, or tax advice. Platform content, research, and introductions are not recommendations and are not tailored to any member's objectives or circumstances. Members are responsible for their own due diligence and investment decisions and should seek independent professional advice.

Risk of private and pre-IPO securities

Private and pre-IPO securities are illiquid, subject to transfer restrictions (including rights of first refusal, lock-ups, and consents), and carry a high risk of loss, including loss of the entire investment. There may be no active market and limited or no information about the company. Ownership may depend on records held by the issuer or its transfer agent, which Bridge Edge does not control. Members should not allocate capital they cannot afford to lose.

Fees and how Bridge Edge is compensated

Bridge Edge does not charge members anything today. No payment provider is configured, no membership charge, invoice, or amount owed exists, and Bridge Edge will never ask a member to send card numbers, bank details, or other payment credentials through this site.

There is no payment capability and no published price. No fee amount, membership tier price, currency, billing period, refund policy, or tax treatment has been decided, so this page shows none rather than presenting a figure that is not real.

What this is waiting on

A payment provider and its limited membership-payment scope must be selected and approved, and the fee schedule, refund, tax, and reconciliation decisions recorded with counsel, before any amount is published or any member is asked to pay.

The intended model is a flat membership subscription, charged for access to the membership itself. Bridge Edge does not intend to take compensation that depends on whether an introduction leads to a transaction, or on the size, value, price, or occurrence of one: no commission, no success fee, no spread or mark-up, and no carried interest. That constraint is deliberate. Compensation that turns on a transaction is one of the characteristics that distinguishes a registered broker from an introduction service, so this is a limit on the business model and not merely a description of it. Whether the model succeeds in avoiding registration in any given market is a question for counsel, and this page does not answer it.

Members bear their own costs, including any charged by third parties they choose to engage — for example an escrow agent, closing attorney, transfer agent, or their own legal, tax, and advisory firms. Bridge Edge does not set, collect, receive, share in, or refund those amounts, and is not responsible for them. See the Terms of use.

Eligibility and non-US scope

Bridge Edge serves eligible accredited and institutional members based outside the United States. Access to protected content and to expressions of interest is conditional on completing the applicable eligibility and verification process. Nothing on the platform is directed at, or intended for, US-based persons or retail investors in any jurisdiction. See Eligibility.

Regulatory status and forward-looking caution

Bridge Edge's regulatory status, and the permissibility of its introduction model in each market, are subject to ongoing legal review and the approval of counsel and, where applicable, regulators. This document does not represent a decision by any regulator and should not be read as confirming that the model is permitted in your jurisdiction. Descriptions of the intended model are forward-looking and may change.
